Terms of Service
EngiTrak Subscription Terms of Service. Last updated: September 24, 2026.
These EngiTrak Subscription Terms of Service (these “Terms”) are a legally binding agreement between Tenatrak Software LLC, an Oregon limited liability company (“Tenatrak,” “we,” “us,” or “our”), and the organization or person who accepts them (“Customer,” “you,” or “your”).
EngiTrak is a product brand of Tenatrak Software LLC. Billing and charges for EngiTrak subscriptions are through Tenatrak Software LLC. The Service is offered at engitrak.com and app.engitrak.com.
Our Privacy Policy is at https://engitrak.com/privacy.html and is incorporated by reference.
1. Acceptance
You accept these Terms by creating an account, clicking a button or checking a box that indicates acceptance, completing online checkout, or accessing or using the Service. If you accept for an organization, you represent that you have authority to bind that organization. If you do not agree, do not create an account and do not use the Service.
These Terms apply to self-serve EngiTrak subscriptions. They are standard SaaS product terms. They are not an enterprise master services agreement and include no service-level agreement (SLA). Any enterprise agreement, if any, must be signed separately by Peter Becker, Owner, for Tenatrak Software LLC.
2. The Service; license
The “Service” is EngiTrak, Tenatrak’s hosted multi-tenant field-service scheduling software, including related documentation we make available for your plan. The Service is software that schedules and assigns field work. It is not professional field services, field labor, an engineering stamp, lockout/tagout (LOTO) services, or OEM advice.
Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the Service during an active paid subscription (or a free trial we expressly offer), solely for your internal business operations, and to permit your Authorized Users to do the same, within plan limits. We do not grant an on-premises or source-code license. There is no uptime SLA in these Terms. The Service is provided AS IS and AS AVAILABLE.
3. Accounts; Microsoft sign-in
You are responsible for (a) users you invite or authorize, (b) keeping credentials confidential, and (c) activity under your tenant. Seat quantity is based on billable users as described on the pricing page and in-product billing. You must keep seat counts accurate.
You may sign in with Microsoft Entra ID (Microsoft account / work or school account) via single sign-on. When you use Microsoft sign-in, we receive basic profile information such as your name, email address, and profile identifiers under the OpenID Connect scopes we request (typically openid, profile, and email). We use that information to create or link your EngiTrak account and to operate the Service. Microsoft’s terms and privacy policy govern Microsoft’s processing.
You must provide accurate account information and notify us promptly of unauthorized use via info@tenatrak.com or in-app support.
4. Subscription; billing; Stripe
The then-current list price for EngiTrak self-serve is US $5.00 per billable user per month, subject to change as described below. Billing is one company/tenant invoice per subscription; subscription quantity equals seats (billable users). Features, seat metrics, and then-current fees are also displayed at Stripe Checkout and/or on engitrak.com. If Checkout or the pricing page states a different then-current fee at the time you subscribe or renew, that then-current fee controls for that term.
Paid subscriptions are billed via Stripe Checkout and managed via the Stripe Customer Portal. You authorize us and our payment processor to charge your payment method for the selected subscription, taxes we are legally required to collect, and recurring renewals until you cancel. You must keep a valid payment method on file for paid plans.
Paid plans are monthly subscriptions (unless Checkout offers another term). Subscriptions auto-renew at the then-current fees unless you cancel through the Stripe Customer Portal before the renewal date. Cancellation takes effect at the end of the then-current paid term unless the Portal states otherwise. Fees are non-refundable except as required by law. Unused periods are not credited, except where law requires otherwise.
We may change fees, plan features, or limits. Changes apply to the next term. We will give reasonable notice (email or in-product) before a fee increase applies to your renewal. If you do not agree, cancel before renewal. Unpaid amounts may result in suspension or termination of access.
Fees exclude taxes. You are responsible for all taxes associated with your purchase, except taxes on our net income. We collect and remit tax only where legally required.
5. Customer data ownership
“Customer Data” means data you or Authorized Users submit to the Service (schedules, jobs, sites, crew assignments, customer/site records, notes, photos, user profile information used in the product, and similar). You retain ownership of Customer Data. We do not own Customer Data. Each tenant’s data is logically separated from other tenants.
You grant us a limited, non-exclusive license to host, store, process, transmit, display, and use Customer Data solely to provide, maintain, secure, support, and improve the Service, to prevent abuse, and as required by law. We do not sell Customer Data.
You represent that you have rights and consents to submit Customer Data, including personal information of your users and field personnel. Do not submit HIPAA protected health information, payment-card primary account numbers, or similarly regulated data unless we expressly agree in writing. The Service is not a HIPAA or PCI environment.
We may use aggregated or de-identified technical usage data to operate and improve the Service. Feedback you provide may be used by us without obligation to you.
6. Acceptable use
You and Authorized Users will not: (a) violate law; (b) infringe others’ rights; (c) reverse engineer the Service except where prohibition is illegal; (d) copy, modify, or create derivative works of the Service; (e) rent, lease, sell, resell, sublicense, scrape, harvest, or provide the Service to third parties (except your Authorized Users); (f) interfere with the Service or other tenants; (g) introduce malware; (h) probe, breach, or load-test security without our prior written consent; or (i) remove proprietary notices. We may suspend or terminate for material violations or security risk.
7. Confidentiality; security
We use commercially reasonable measures designed to protect the Service and Customer Data. Customer Data in our production database is hosted on Railway with encryption at rest on Railway Postgres, and connections use TLS in transit. We do not claim SOC 2 or other certifications in these Terms. You are responsible for your own access controls, device security, and how Authorized Users handle Customer Data.
8. Availability disclaimer
We do not promise any particular availability, uptime, or uninterrupted operation. Maintenance, incidents, third-party outages, and other events may affect access. The Service is provided AS AVAILABLE.
9. Operational disclaimer (scheduling / field work)
The Service schedules and assigns field work. Customer owns its crews, jobsites, customers, and the work performed or not performed. Tenatrak provides software only. To the maximum extent permitted by law, Tenatrak is not liable for missed jobs, late arrivals, injury, property damage at a jobsite, or production or business outcomes arising from relying on a schedule, assignment, notification, or other output of the Service.
You, not Tenatrak, are solely responsible for verifying schedules before anyone acts; training and supervising personnel; and all safety and operational outcomes at your sites.
10. Intellectual property
Tenatrak and its licensors own the Service, software, branding, documentation, look and feel, and all related intellectual property. You own Customer Data. No rights are granted except as expressly stated.
11. Third-party services
The Service may integrate with third parties (for example payment via Stripe, Microsoft for sign-in, email delivery, maps, and hosting). Their terms govern those services. We are not responsible for third-party outages beyond our reasonable control.
12. Warranty disclaimer
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE AND DOCUMENTATION ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT UNINTERRUPTED, ERROR-FREE, TIMELY, OR SECURE OPERATION, OR THAT SCHEDULES, ASSIGNMENTS, NOTIFICATIONS, OR OTHER OUTPUT WILL BE ACCURATE OR COMPLETE, OR THAT THE SERVICE WILL ACHIEVE ANY OPERATIONAL, SAFETY, OR BUSINESS OUTCOME.
13. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TENATRAK WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, GOODWILL, OR DATA, COST OF SUBSTITUTE SERVICES, BUSINESS INTERRUPTION, DOWNTIME, OR LOST PRODUCTION, REGARDLESS OF THEORY AND EVEN IF ADVISED OF THE POSSIBILITY.
EXCEPT AS STATED BELOW, TENATRAK’S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE FEES YOU ACTUALLY PAID TO TENATRAK FOR THE SERVICE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. IF YOU HAVE PAID NO FEES IN THAT PERIOD (INCLUDING A $0 OR TRIAL PERIOD), OUR TOTAL LIABILITY IS LIMITED TO ONE HUNDRED U.S. DOLLARS (US $100) TO THE MAXIMUM EXTENT PERMITTED BY LAW. MULTIPLE CLAIMS DO NOT ENLARGE THE CAP.
The cap does not apply to: (a) your unpaid fees; (b) your indemnity obligations; (c) your infringement of our intellectual property; or (d) Tenatrak’s own fraud or willful misconduct. Scheduling, field-work, injury, and other operational matters described in Section 9 are not uncapped liabilities of Tenatrak.
14. Indemnity
You will defend, indemnify, and hold harmless Tenatrak and its members, officers, employees, and contractors from and against any third-party claim, and related damages, losses, costs, and reasonable attorneys’ fees, arising out of or relating to: (a) Customer Data; (b) your or Authorized Users’ misuse of the Service; (c) your crews, jobsites, or field operations; or (d) your violation of law or these Terms. This indemnity does not require you to indemnify Tenatrak to the extent a claim is solely and directly caused by Tenatrak’s willful misconduct. Self-serve Terms do not include a Tenatrak IP indemnity.
15. Term; termination; data export
These Terms continue while you have an account or an active subscription. You may cancel as described in Section 4. You may stop using the Service at any time. Requesting account closure via engitrak.com or in-app support is notice of termination by you, subject to any remaining paid term.
We may suspend or terminate immediately or on notice if: (a) you materially breach these Terms; (b) you fail to pay; (c) we reasonably determine that your use creates security, legal, or operational risk; (d) we are required by law; or (e) we discontinue the Service or your plan (in which case we will give reasonable notice and, if we discontinue a paid plan mid-term without offering a reasonably comparable substitute, we will refund prepaid unused fees for the discontinued remainder, unless law requires more).
Upon termination, your right to access the Service ends. Upon written request within thirty (30) days after termination, we will make Customer Data available for export in a then-available reasonable format. After that window, we will delete Customer Data from production systems within a commercially reasonable period, except backups in ordinary cycle and data we must retain by law.
16. Changes
We may update these Terms by posting a revised version and updating the “Last updated” date, and where required by law or for material adverse changes, by reasonable notice (email or in-product). The revised Terms apply to the next renewal or, for material changes, as stated in the notice. Continued use after the effective date constitutes acceptance, except where law requires a different assent method.
17. Governing law
These Terms are governed by the laws of the State of Oregon, excluding conflict-of-law rules. Exclusive venue is the state courts located in Washington County, Oregon, or the United States District Court for the District of Oregon. You consent to personal jurisdiction there.
18. General
These Terms, the Privacy Policy, Checkout selections, and any in-product plan limits are the entire agreement for self-serve use of the Service. They supersede prior discussions. Marketing copy and demo conversations are not contractual commitments. If you later sign an enterprise agreement with Tenatrak for EngiTrak, that signed agreement controls for that enterprise subscription.
You may not assign these Terms without our prior written consent, except to an affiliate or successor in a merger, acquisition, or sale of substantially all assets if the assignee is not our competitor and assumes these Terms. We may assign to an affiliate or successor. If a provision is unenforceable, it is modified to the minimum extent necessary; the rest remains in effect. You will not use the Service in violation of U.S. export controls or sanctions. We are not liable for delay or failure caused by events beyond our reasonable control (other than that this clause does not excuse your payment obligations). We are a software vendor; these Terms do not create a partnership or employment relationship. The Service is not legal, engineering, safety, or field-service professional advice.
